Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the GEOCraft platform and related services (“Service”) operated by GEOCraft, Inc. (“GEOCraft,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, GEOCraft grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

3. Acceptable Use

You agree not to:

  • Use the Service to generate spam, misinformation, or content that violates applicable law;
  • Attempt to gain unauthorized access to the Service or its underlying systems;
  • Reverse-engineer, decompile, or disassemble any part of the Service;
  • Resell or sublicense access to the Service without our written consent;
  • Use the Service in a manner that impairs its availability or performance for other users.

4. Intellectual Property

GEOCraft and its licensors retain all right, title, and interest in and to the Service, including all associated intellectual property rights. You retain ownership of content you submit to the Service (“Your Content”). By submitting Your Content, you grant GEOCraft a worldwide, royalty-free license to use, host, and process it solely to provide the Service.

AI-generated content produced by the Service is provided to you under the license above. You are responsible for reviewing and validating any generated content before publication.

5. Subscriptions and Billing

Access to certain features requires a paid subscription. Subscriptions are billed in advance on a monthly or annual basis as selected at sign-up. All fees are non-refundable except as required by law or as expressly stated in a separate agreement. GEOCraft reserves the right to change pricing with 30 days’ notice.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is or becomes publicly available through no breach of this section.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GEOCRAFT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GEOCRAFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF GEOCRAFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. GEOCRAFT’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO GEOCRAFT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless GEOCraft, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms.

10. Termination

Either party may terminate these Terms at any time. GEOCraft may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination, your license to use the Service ends and you must cease all use. Sections 4, 7, 8, 9, and 11 survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

GEOCraft may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date and, where appropriate, by email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
